The subsequent Terms of Use establish a legally binding contract (hereinafter also referred to as "Terms") between you ("you" or "your") and CyberThrone Technology LTD ("CyberThone", "Company", "we", "us" or "our"). Please be aware that third-party parties, including but not limited to Magic Eden, Tensor etc, and your third-party wallet providers (e.g., Phantom, Trust Wallet, Wallet Connect), maintain their independent Terms of Service/Use (or equivalent) and Privacy Policies pertaining to their products and services. Before utilizing or engaging with such third-party products or services in conjunction with our Website, it is your responsibility to thoroughly review, agree to, and adhere to their respective Terms of Service/Use (or equivalent) and Privacy Policies.

2. Terms and Definitions

Artwork refers to digital content, including but not limited to art objects, designs, wording, or drawings, presented in any form or media, such as video, images, or photographs, that is linked to an NFT owned by you.

Buyer - refers to an individual or entity that acquires a Non-Fungible Token (NFT) through the Marketplace.

Creator - CyberThrone Technology LTD team who originates and owns the Intellectual Property Rights to the digital content associated with a specific Non-Fungible Token (NFT).

Counterfeit NFT - refers to an NFT that exhibits Artwork identical or significantly indistinguishable from the NFT owned by you, such as: an NFT labeled as a knock-off, replica, imitation, clone, faux, fake, mirror image, or any similar term indicating a reproduction of an NFT; or an NFT that replicates the layers, features, or characteristics of the NFT owned by you, an NFT with the intention of presenting it as an authentic creation by us.

Intellectual Property Rights - encompass all existing and future rights associated with intellectual property, as recognized by statute, common law, or equity, regardless of their current status. These rights include but are not limited to:

(i) All copyrights and copyrightable works, whether registered or unregistered.

(ii) Trademarks, service marks, trade dress, logos, registered designs, trade and business names (including internet domain names, corporate names, and email address names), whether registered or unregistered.

(iii) Patents, patent applications, patent disclosures, and inventions (regardless of patentability).

(iv) Trade secrets, know-how, database rights, proprietary knowledge, and rights in designs.

(v) Trade names, brand names, commercial names, business names, product names, and domain names.

(vi) All other categories of intellectual property or proprietary rights resulting from intellectual efforts in any field, whether or not registered or capable of registration.

(vii) Any application or right to apply for registration of any of these rights or other rights of a similar nature arising or capable of arising under statute or at common law anywhere in the world.

(viii) Other intellectual property as defined in Article 2 of the Convention Establishing the World Intellectual Property Organisation 1967 (as amended on September 28, 1979).

Marketplace refers to a digital platform or software, including blockchain-based digital wallets, facilitating the transfer, purchase, or sale of NFTs which consistently employs cryptographic verification mechanisms to ascertain the rightful ownership of an NFT by its holder (e.g., Magic Eden, Tensor, Opensea etc.).

Ownership of NFT refers to obtaining a unique digital certificate of authenticity and ownership recorded on a blockchain with respect to an NFT purchased through the Marketplace or otherwise rightfully acquired from a legitimate source.

NFTs or non-fungible tokens are digital assets residing on blockchains, serving to represent distinctive items such as digital collectibles, art, game items, community memberships, and various other entities.

CyberThrone Library Collection designates a printable/readable digital book collection created by us, which serves as a utility to the NFT, providing a supplementary dimension to the NFTs within the CyberThrone ecosystem.

CyberThrone – Genesis is the foundational NFT collection within the CyberThrone ecosystem. Holders of CyberThrone – Genesis NFTs may, at the discretion of the CyberThrone team, be eligible to access certain features or benefits within the ecosystem, which may include revenue participation mechanisms, airdrops, or other utilities. Any such features or benefits are not guaranteed, may be modified or discontinued at any time, and are subject to these Terms and any additional terms that may apply.

Secondary Market Royalties refers to the Creator's royalty fee calculated as 5.55% of each sale on the secondary market in the event that the Buyer opts to sell the NFT.

Third-Party Intellectual Property Rights means any Intellectual Property Rights owned by entities other than the Creator.

3. About Us

CyberThrone is a team of skilled graphic and creative designers alongside web and software developers and social media experts. We have meticulously crafted a distinctive NFT collection called CyberThrone: Genesis. This collection is uniquely minted on the Solana blockchain and features over 200 distinct traits, including head, body, leg, arm, weapon, background and color scheme variations.

Upon choosing to acquire NFTs from our esteemed CyberThrone: Genesis collection, you are granted a license to use them under the terms and conditions explicitly outlined in these Terms, subject to certain restrictions and limitations, which are elucidated below.

The comprehensive terms of purchase for NFTs and the corresponding license details are available in these Terms below. For a thorough understanding of your rights and responsibilities regarding the acquired NFTs, we encourage you to review these Terms meticulously. This ensures a transparent and mutually beneficial engagement between CyberThrone Technology LTD and you, our valued user.

4. Purchase and Sale of NFTs

CyberThrone is the Creator of the NFTs collection showcased on the Website.

We do not directly sell NFTs on our Website. All transactions are facilitated by third-party service providers. The acquisition of our NFTs can be completed on partner Marketplaces, including Magic Eden and Tensor.

Should you choose to acquire NFTs through these third-party services, all transactions will be exclusively processed through these services and the respective blockchain network(s). We exercise no control over these transactions and lack the authority to reverse any associated fees, including transaction fees or "gas" fees imposed by relevant blockchain network(s). Consequently, we bear no liability for any claims or damages arising from your engagements in purchases or transactions through these third-party services.
